These Terms and Conditions ("Terms") govern the use of the coworking space, meeting rooms, private conference room, and studio operated by U-Coworking Co., Ltd. (บริษัท ยู-โคเวิร์คกิ้ง จำกัด), a company registered in Thailand under registration No. 0105569121454, with its registered office at 81/2-3 Soi Sukhumvit 50, Phra Khanong, Khlong Toei, Bangkok 10260 ("the Company," "we," "us") ("the Space"). By registering for, booking, or entering the Space, any individual ("Member," "you") agrees to be bound by these Terms, whether Thai national or foreign national.
1. The Service
The Company provides a shared workspace available on daily, weekly, and monthly rental terms. The Space may be used for general work, study, quiet focus, personal or team projects, meetings, teaching or workshops, and similar lawful activities. Bookable facilities include private meeting rooms, a small private conference room, and a studio suitable for video shooting, podcast production, and similar content creation. Availability of any facility is subject to booking and capacity.
2. Membership and Booking
- Access is granted only after registration and payment of the applicable fee for the selected plan (day pass, weekly pass, or monthly membership).
- Meeting rooms, the conference room, and the studio must be booked in advance through the Company's booking system; walk-in use is subject to availability.
- Members are responsible for arriving and vacating bookable rooms on time. Overruns may be charged or forfeit the remaining session.
- Membership is personal to the individual and is not transferable without the Company's written consent.
3. Acceptable Use
Members may use the Space for any lawful purpose consistent with a shared working environment. The following apply to all areas:
- Respect quiet zones and other Members' need to focus; keep noise, calls, and music to a level that does not disturb others.
- Keep shared areas, desks, and equipment clean and tidy after use.
- Do not remove, damage, or misuse Company property, furniture, or another Member's belongings.
- Follow any posted house rules, fire/safety instructions, and reasonable directions from staff.
- Guests brought into the Space are the responsibility of the hosting Member, who must ensure the guest also follows these Terms.
4. Studio, Recording, and Equipment
- Members using the studio are responsible for their own recording, filming, and production equipment; the Company is not liable for loss of or damage to personal equipment.
- Members are solely responsible for obtaining any consents, releases, licences, or permits required for content they record or produce (including consent from any identifiable person appearing in their content).
- Recording, filming, or photographing other Members or their work without consent is prohibited outside the studio's intended use.
- Members are liable for any damage caused to studio equipment, backdrops, lighting, or fixtures through misuse or negligence.
5. Prohibited Activities
The following are strictly prohibited anywhere on the premises, with no exceptions:
- Any activity that is illegal under Thai law, including but not limited to the production, use, sale, or distribution of illegal substances, unlicensed commercial activity, gambling, or content that violates Thai law (including lèse-majesté, defamation, or obscenity laws).
- Harassment, threats, discrimination, or abusive behaviour towards any person.
- Unauthorised commercial solicitation not related to a Member's own booked use of the Space.
- Bringing weapons, illegal substances, or hazardous materials onto the premises.
The Company reserves the right to immediately suspend or terminate access, without refund, for any breach of this section, and to report unlawful activity to the relevant Thai authorities.
6. No Responsibility for Visa, Immigration, or Legal Status
The Company is solely a provider of rentable workspace and facilities. The Company has no role in, and takes no responsibility for, any Member's visa status, immigration status, work permit, passport validity, visa overstay, or any other matter relating to a Member's legal right to be or work in Thailand. Foreign Members are solely responsible for ensuring their own compliance with Thai immigration law, including any restrictions on business or income-generating activity while in the country. Use of the Space does not constitute, and must not be represented as, a work permit, visa sponsorship, or proof of address for immigration purposes, unless separately and expressly agreed with the Company in writing.
7. Fees and Payment
- Fees for day, weekly, and monthly plans, and for room/studio bookings, are payable in advance at the rates published by the Company at the time of booking.
- All fees are non-refundable once paid, except where required by law or expressly agreed otherwise by the Company in writing.
- Monthly memberships renew automatically unless cancelled with at least 30 days' written notice before the next renewal date.
- The Company reserves the right to change prices for future terms; changes will not apply to a period already paid for.
8. Cancellation and Termination
- Members may cancel a monthly membership with 30 days' written notice; day and weekly passes are non-cancellable once paid.
- The Company may suspend or terminate any Member's access immediately and without refund for breach of these Terms, illegal activity, non-payment, or conduct that disrupts other Members or staff.
- The Company may discontinue or modify the Space, its facilities, or opening hours at its discretion, with reasonable notice where practicable.
9. Liability and Indemnity
To the fullest extent permitted by Thai law:
- The Company is not liable for any loss, theft, or damage to personal belongings, equipment, or property brought into the Space by any Member or guest.
- The Company is not liable for any indirect, incidental, or consequential loss, including loss of income, data, business, or opportunity arising from use of, or inability to use, the Space.
- The Company is not responsible for disputes, agreements, or transactions between Members, or between a Member and any third party, including through teaching, workshops, or content produced at the Space.
- Each Member agrees to indemnify the Company against any claim, loss, or liability arising from their breach of these Terms or their unlawful or negligent acts while using the Space.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Thai law, including liability for death or personal injury caused by the Company's proven negligence.
10. Personal Data
The Company collects and processes Member personal data (such as name, contact details, and payment information) solely to operate the Space, manage bookings, and comply with legal obligations, in accordance with Thailand's Personal Data Protection Act (PDPA). Data will not be shared with third parties except as necessary to provide the service or as required by law.
11. Force Majeure
The Company is not liable for any failure or delay in providing the Space or facilities due to circumstances beyond its reasonable control, including natural disasters, government action, power or internet outages, pandemics, or civil unrest.
12. Governing Law
These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from these Terms or use of the Space shall be subject to the exclusive jurisdiction of the Thai courts.
13. Changes to These Terms
The Company may update these Terms from time to time. The current version will be posted at the Space and/or on the Company's website. Continued use of the Space after changes take effect constitutes acceptance of the updated Terms.
14. Acknowledgement
By registering, booking, or using the Space, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
